DiligenceExpress - Using ADV Data When a Directorship Company is "Struck Off"

As per our prior emails, we are pleased to make available Castle Hall’s DiligenceExpress Form ADV information to all our clients, accessible either through our existing DiligenceProfessional portal or through the new DiligenceHub app. (We are also pleased with our progress to transition more and more of our clients to DiligenceHub, and very much appreciate the feedback we have received to date. Remaining clients will be transitioned over the coming weeks, and we look forward to introducing everyone to our new diligence platform).
As one example of the value of ADV data, we obtained a recent decision from the Cayman Islands Monetary Authority, CIMA (see link) whereby the Companies Management License has been revoked for ManagementPlus (Cayman) Limited. Per CIMA, ManagementPlus had failed to prepare and submit audited accounts or Certificates of Compliance across a number of years, and had “failed to provide access to, and allow copies to be made of, such books, records and documents”.
Using our underlying ADV database, Castle Hall was able to identify 52 private funds where one of the two named principals of ManagementPlus (per CIMA’s correspondence being William “Bill” Jones and Nigel Stead) serve as director. (To be clear, we note that CIMA’s decision does not imply that ManagementPlus’s principals are charged with any offence and / or have failed to discharge their duties towards these funds.)
Nonetheless, we often say that the first rule of due diligence is “not to be surprised”. Analysis of ADV information across the funds in which you invest is a helpful foundation step within your due diligence program. Going forward, Castle Hall’s platform will notify you each time a new ADV filing for one of your SEC registered managers is submitted: DiligenceHub also detailed “change view” comparisons. These include identification of changes to directors and other service providers to a fund and management company.
